BARITEXOS TERMS OF USE

1. About BaritexOS

BaritexOS is an AI-powered operating system designed to help businesses streamline operations, automate workflows, improve decision-making, manage organizational knowledge, and enhance productivity through artificial intelligence and connected business tools.

The Services may include, but are not limited to:

• AI assistants and agents
• Business workflow automation
• Knowledge management
• Document analysis
• Business intelligence
• Career and workforce tools
• Integrations with third-party applications
• APIs
• Future products and services introduced by Baritex.

2. Eligibility

You may use the Services only if:

• you are at least 18 years old;
• you have legal capacity to enter into a binding agreement;
• your use complies with all applicable laws; and
• you are not prohibited from using our Services under applicable law.

If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Subscription pricing, features, limits, and billing cycles are published on our website or agreed through enterprise contracts.

Subject to these Terms, Baritex grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for lawful internal business purposes.

This license does not transfer ownership of the Services or any intellectual property.

You retain ownership of your Customer Content.

By using the Services, you grant Baritex a limited worldwide license to:

• host
• process
• analyse
• transmit
• store
• display

your Customer Content solely for the purpose of providing, maintaining, securing, improving, and supporting the Services.

Baritex does not claim ownership of your Customer Content.

8. AI-Generated Content

Artificial intelligence may produce inaccurate, incomplete, outdated, or misleading outputs.

Accordingly:

• AI Output should not be considered legal, financial, tax, medical, employment, or regulatory advice.
• You are responsible for reviewing and verifying AI-generated content before relying upon it.
• Baritex makes no guarantee regarding the accuracy, completeness, or suitability of AI Output.

You assume all responsibility for decisions made based on AI-generated responses.

9. Acceptable Use

You agree not to:

• violate any applicable law;
• upload malicious software;
• attempt unauthorized access;
• interfere with platform security;
• reverse engineer the Services except where permitted by law;
• scrape or harvest data without authorization;
• exploit vulnerabilities;
• infringe intellectual property rights;
• upload unlawful, fraudulent, or harmful content;
• misuse AI models to generate illegal or abusive material;
• use the Services to develop competing AI systems using Baritex proprietary technology.

Additional restrictions are contained in the Acceptable Use Policy, which forms part of these Terms.

10. Third-Party Services

The Services may integrate with third-party providers.

Examples include:

• payment providers;
• cloud hosting services;
• authentication providers;

• productivity software;
• business applications.

Baritex is not responsible for third-party products, services, or content.

Your use of third-party services is governed by their respective terms.

Baritex and its licensors own all rights, title, and interest in:

• AI models;
• algorithms;
• workflows;
• trademarks;
• logos;
• documentation;
• APIs;
• user interfaces;
• databases;
• source code;
• designs;
• proprietary technology.

Nothing in these Terms transfers ownership of Baritex intellectual property.

12. Feedback

If you provide suggestions, ideas, feature requests, or other feedback, you grant Baritex a perpetual, worldwide, irrevocable, royalty-free license to use, modify, and incorporate that feedback without compensation to you.

13. Confidentiality

Where confidential information is exchanged through the Services, each party agrees to protect such information using reasonable administrative, technical, and organizational safeguards.

This obligation does not apply to information that:

• becomes publicly available through no fault of the receiving party;
• was lawfully known before disclosure;
• is independently developed without reference to the confidential information; or
• must be disclosed by law.

Your use of the Services is also governed by the Baritex Privacy Policy.

The Privacy Policy explains how personal data is collected, processed, stored, transferred, and protected.

Baritex implements commercially reasonable technical and organizational measures designed to protect Customer Content.

However, no online service can guarantee absolute security.

Users are responsible for implementing appropriate internal security practices, including strong authentication and access controls.

While we strive for high availability, Baritex does not guarantee uninterrupted or error-free operation.

Maintenance, upgrades, outages, force majeure events, or third-party failures may temporarily affect the Services.

17. Beta Features

Certain features may be designated as alpha, beta, preview, or experimental.

Such features:

• may contain bugs;
• may change without notice;
• may be discontinued at any time;
• are provided "as is."

18. Suspension and Termination

Baritex may suspend or terminate access if:

• these Terms are violated;
• fraudulent or illegal activity is suspected;
• payment obligations are not met;
• continued access presents security risks;
• required by law.

You may stop using the Services at any time.

Termination does not relieve either party of obligations that survive termination.

19. Disclaimer of Warranties

To the maximum extent permitted by law, the Services are provided "as is" and "as available."

Baritex disclaims all warranties, express, implied, statutory, or otherwise, including warranties of:

• merchantability;
• fitness for a particular purpose;
• non-infringement;
• uninterrupted service;
• accuracy of AI-generated content.

20. Limitation of Liability

To the maximum extent permitted by law, Baritex shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, revenue, goodwill, business opportunities, or data.

Baritex's aggregate liability arising out of or relating to the Services shall not exceed the total amount paid by the customer to Baritex during the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not permit certain liability limitations. In those jurisdictions, liability will be limited only to the extent permitted by applicable law.

21. Indemnification

You agree to defend, indemnify, and hold harmless Baritex, its affiliates, directors, officers, employees, contractors, and agents from any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

• your use of the Services;
• your Customer Content;
• your violation of these Terms;
• your infringement of any third-party rights; or
• your violation of applicable law.

22. Governing Law and Dispute Resolution

These Terms shall be governed by the laws specified in your applicable customer agreement or, where none exists, the laws of the jurisdiction in which Baritex is incorporated, without regard to conflict of laws principles.

Before commencing formal legal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiation.

If a dispute cannot be resolved amicably, it shall be submitted to the competent courts or arbitration forum specified in the applicable customer agreement or as otherwise required by applicable law.

23. Changes to These Terms

Baritex may modify these Terms from time to time.

Where changes are material, we will provide reasonable notice through the Services or by email.

Continued use of the Services after the effective date of revised Terms constitutes acceptance of the updated Terms.

25. Entire Agreement

These Terms, together with the Privacy Policy, Acceptable Use Policy, Data Processing Agreement (where applicable), applicable Order Forms, and any executed enterprise agreements, constitute the entire agreement between you and Baritex regarding the Services and supersede all prior agreements, understandings, and communications relating to the subject matter herein.
